These Terms & Conditions (“Terms”) govern your access to and use of NeoSocialLift (“NeoSocialLift”, “we”, “us”, “our”) and our AI-powered social media management and scheduling software-as-a-service (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.
1) Eligibility and account registration
You must be legally able to form a contract in your jurisdiction to use the Service. You agree to provide accurate account information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
2) The Service
NeoSocialLift provides features that may include:
Connecting social accounts (Facebook, Instagram, X, LinkedIn) via OAuth
Scheduling, publishing, and managing posts
AI-assisted content suggestions and sentiment/engagement insights
Team collaboration tools, approvals, and audit logs
Analytics and reporting
Features may change over time. We may add, remove, or modify features to improve the Service or comply with platform requirements.
3) Subscriptions, plans, and payments
We may offer Free, Premium, and Enterprise plans. Pricing, limits, and included features are described on our website or in the Service. Taxes may apply.
If you purchase a paid plan, you authorize us (and our payment processor) to charge your payment method according to your selected billing cycle. Fees are generally non-refundable except where required by law or as explicitly stated by us.
4) Acceptable use
You agree not to:
Use the Service for unlawful, harmful, or fraudulent activities
Infringe intellectual property or privacy rights
Upload malware, attempt unauthorized access, or disrupt the Service
Circumvent usage limits, security features, or platform restrictions
Use the Service to send spam, deceptive content, or to manipulate engagement in violation of platform rules
Misrepresent affiliation with NeoSocialLift or any social platform
We may suspend or terminate accounts that violate these Terms or create risk for users, third parties, or us.
5) Your content and responsibilities
You retain ownership of the content you upload or create (“User Content”). You grant NeoSocialLift a limited, non-exclusive, worldwide license to host, store, process, and transmit User Content solely to provide and improve the Service (including publishing to connected platforms at your direction).
You are solely responsible for:
Your User Content (including legality, accuracy, and compliance)
Obtaining necessary rights, licenses, and permissions (e.g., music, images, trademarks)
Reviewing content before publishing
Ensuring your posting and engagement activities comply with all applicable laws and each platform’s terms and policies
6) Third-party platforms (Meta/Facebook/Instagram, X, LinkedIn)
The Service integrates with third-party platforms using their APIs. Your use of those platforms is governed by their own terms, policies, and rules. You understand and agree that:
Platform availability, API features, and permissions may change at any time
Platforms may throttle, limit, suspend, or revoke access (including your connected accounts or our integrations)
Certain features may not work if permissions are denied, revoked, or changed
NeoSocialLift is not affiliated with, endorsed by, or sponsored by Meta, X, or LinkedIn unless explicitly stated
You authorize NeoSocialLift to access and use platform data and perform actions (like publishing posts) as permitted by your granted permissions and our Privacy Policy.
7) OAuth tokens and account connections
When you connect a social account, you authorize access via OAuth. You may disconnect accounts in the Service and/or revoke permissions through the social platform’s settings. If access is revoked, some Service features may stop working.
8) AI features and disclaimers
AI-generated suggestions are provided “as-is” for convenience. AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing, editing, and approving all content and decisions before publishing or acting on them.
9) Intellectual property
NeoSocialLift and its software, designs, trademarks, logos, and content are owned by us or our licensors and are protected by intellectual property laws. Except as expressly allowed, you may not copy, modify, distribute, sell, or reverse engineer any part of the Service.
10) Privacy
Our Privacy Policy describes how we collect and use personal data. By using the Service, you agree to the Privacy Policy.
11) Availability, changes, and maintenance
We aim to keep the Service available but do not guarantee uninterrupted operation. We may perform maintenance, updates, or changes that affect availability. We may also change these Terms, features, or pricing (to the extent allowed by law) by posting updates and updating the “Last Updated” date.
12) Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required to comply with law or platform policies, or to protect the Service or others. Upon termination, your right to use the Service ends. Some provisions (e.g., ownership, disclaimers, limitation of liability) survive termination.
13) Disclaimers
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee results, follower growth, engagement, revenue, or platform performance.
14) Limitation of liability
To the maximum extent permitted by law, NeoSocialLift will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid to NeoSocialLift for the Service in the 3 months before the event giving rise to the claim (or, if you are on a free plan, a nominal amount).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15) Indemnification
You agree to defend, indemnify, and hold harmless NeoSocialLift from claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights (including platform rules).
16) Governing law and disputes
Unless otherwise required by applicable law, these Terms are governed by the laws of the jurisdiction where NeoSocialLift is established, without regard to conflict-of-law rules. If local consumer laws apply to you, you may have additional rights.
17) Changes to these Terms
We may update these Terms from time to time. We will post the latest version and update the “Last Updated” date. If you continue to use the Service after changes take effect, you accept the updated Terms.
